HOUSE RULES 2007 “Promotion” from Air Products and Controls Inc.

OFFICIAL RULES

1. PROMOTION DESCRIPTION: A. 21 Always Pays: Collect any 20 (Twenty) Official Proof of Purchase labels from qualifying Air Products and Controls Inc. (“APC”) Brand Duct Smoke Detectors, submit them to APC Promotion Headquarters and receive one APC SL-2000-P Duct Smoke Detector for no charge. Free SL-2000-P to be redeemed by manufacturer only. Only original Official Proof of Purchase labels collected from the manufacturer’s original packaging will be accepted - Official Proofs of Purchase that are photocopied or mechanically reproduced are ineligible. Each Official Proof of Purchase label MUST include the individual barcode in its entirety, otherwise it will be ineligible toward the 20 required for redemption and will not be counted. Each Official Proof of Purchase may only be submitted one time for credit toward the 20 required for a free product redemption. B. 16 Wins!: Collect any 15 (Fifteen) Official Proof of Purchase labels from qualifying Air Products and Controls Inc. (“APC”) Brand Duct Smoke Detector Remote Accessories, submit them to APC Promotion Headquarters and receive one APC MSR-100R/W Duct Smoke Detector Remote Accessory for no charge. Free MSR-100R/W to be redeemed by manufacturer only. Only original Official Proof of Purchase labels collected from the manufacturer’s original packaging will be accepted - Official Proofs of Purchase that are photocopied or mechanically reproduced are ineligible. Each Official Proof of Purchase MUST include the individual barcode in its entirety, otherwise it will be ineligible toward the 15 required for redemption and will not be counted. Each Official Proof of Purchase may only be submitted one time for credit toward the 15 required for a free product redemption. There is no limit to the amount of unique submissions allowed per participant in either Promotion Program (21 Always Pays and/or 16 Wins!). Promotion begins on or about December 15, 2006 and is scheduled to end on December 31, 2007. By participating in a Promotion the participant unconditionally accepts and agrees to comply with and abide by these Official Rules and the decisions of APC (“Sponsor”), which shall be final and binding with respect to all aspects of the Promotion.

2. WHO IS ELIGIBLE TO PARTICIPATE. The Promotion is open only to legal residents of the United States and Canada (“Territory”) who purchase qualifying product from an authorized seller of authentic APC Duct Smoke Detectors and APC Remote Accessories. Persons in any of the following categories are NOT eligible to participate or redeem Proofs of Purchase in the Promotion: (a) any person who on or after December 15, 2006, was or is a director, officer, employee, agent or franchise owner of participating Wholesale Distributors; (b) individuals who are engaged in the development, production or distribution of materials or supply prizes for the Promotion. The transfer of Promotion materials by an ineligible person to an eligible person is strictly prohibited.

3. HOW TO OBTAIN AN OFFICIAL PROOF OF PURCHASE. One Official Proof of Purchase label is attached to the unit carton of eligible products. A. 21 Always Pays: Obtain an Official Proof of Purchase label, while supplies last, on the following APC Duct Smoke Detectors: SL-2000-N; SL-2000-P; SM-501-N; SM-501-P; HS-100-N; HS-100-P. B. 16 Wins!: Obtain an Official Proof of Purchase label, while supplies last, on the following APC Duct Smoke Detector Remote Accessory products: MSR-100R/R; MSR-100R/S; MSR-100R/W; MSR-100RS/R/C; MSR-100RS/R/O; MSR-100RS/S/C; MSR-100RS/S/O; MSR-100RS/W/C; MSR-100RS/W/O.

4. HOW TO PARTICIPATE. To participate in the Promotion, carefully peel the “House Rules” Official Proof of Purchase label from the packaging to which it is affixed and save it in a safe place until you have accumulated the number of labels required by the individual program (See Rule 1). See Rule 5 “HOW TO REDEEM”. General Restrictions. The transfer of Official Proof of Purchase labels is not permitted without APC authorization. Duct Smoke Detectors and Remote Accessories pictured in point-of-sale, online, and print advertising, promotional packaging, and other materials are for illustrative purposes only. All details and other restrictions of awards not set forth in these Official Rules will be determined by APC in its sole discretion and will be provided to the participant upon eligible redemption. Free product will be awarded only if a participant fully complies with these Official Rules. No cash alternative or substitution will be provided, except APC, in its sole discretion, reserves the right to substitute a different model number or an award of equal or greater value if said product cannot be awarded as described due to unavailability for any reason. Free product will be delivered only to an address in the Territory. In the event APC agrees, in its sole discretion, to deliver an award to an address outside the Territory, the winner of such award shall be solely responsible for paying all shipping and other costs associated with such delivery.

5. HOW TO REDEEM. Proof of Purchase Labels from the different programs cannot be combined into an eligible product redemption submission. Enclose the Promotion Program’s required quantity of Official Proof of Purchase labels (See Rule 1) along with a separate piece of paper containing the participant’s full contact information (name, address, city, state, zip code, daytime and evening phone numbers including area codes, email address) in a #10 envelope and mail to: Air Products and Controls Inc. • House Rules Promotion Manager • 1749 East Highwood • Pontiac, MI 48340

The Redemption Center will not honor and is not responsible for participant submissions that are incomplete.

6. DEADLINES TO REDEEM. All free product submission must be received at Air Products and Controls Promotion Headquarters on or before January 15, 2008, or the date which is 15 days after the Promotion officially ends, whichever is later. All free product submission materials received after the redemption deadlines shall be deemed VOID and will be ineligible for award. Free product submission materials that are complete and duly submitted to APC Promotion Headquarters within the applicable redemption period will be verified within two (2) weeks after the materials are received, or as soon thereafter as reasonably practical, and once verified, free product will be mailed via UPS Ground to the address supplied with original submission.

7. VERIFICATION. If any part of any Official Proof of Purchase is counterfeited, or if any part is illegible, mutilated or tampered with in any way, or if it contains or reflects printing, typographical, mechanical or other errors, the Proof of Purchase label, as applicable, will be rejected and will be deemed void and invalid. Each participant acknowledges and agrees that the decisions of APC and the Promotion Manager shall be final, binding and conclusive in all matters relating to the “House Rules” Promotion, including without limitation determinations regarding the validity of Official Proofs of Purchase and/or other materials submitted for verification. Only Official Proofs of Purchase with the “House Rules” graphic and complete barcode will be accepted for verification. Any person attempting to forge Promotion materials or defraud Air Products and Controls in any way in connection with this Promotion will be prosecuted to the fullest extent permitted under the law.

8. GENERAL RELEASE AND CONDITIONS OF PARTICIPATION. Participants assume all risk of loss, damage, destruction, delay and misdirection of Promotion materials and are advised to obtain insurance where appropriate. Sponsor is not responsible for incomplete, illegible, misdirected, late, lost, damaged, stolen, or postage-due submissions, which may be judged void; for any technical malfunctions, failures, or difficulties, printing errors, clerical, typographical or other error in Official Proof of Purchase labels, whether human, mechanical, clerical, electronic, or technical in nature; or for the incorrect or inaccurate capture of information, or the failure to capture any information. Proof of mailing Promotion materials of any kind or nature does not constitute proof of delivery. Promotion materials submitted become the property of APC and will not be returned. By participating in the Promotion and redeeming an award, each participant hereby releases and agrees to hold Air Products and Controls harmless from and against any and all costs, injuries, losses or damages of any kind, including, without limitation, death and bodily injury, due in whole or in part, directly or indirectly, to participation in the Promotion, or the receipt, use or misuse of any product award. Participants waive the right to assert as a cost of submitting a request for product redemption, any and all costs of verification and redemption or travel to redeem said award and any liability and publicity which might arise from redeeming or seeking to redeem said award. By submitting promotion materials, except where such condition is legally prohibited, each verified winner hereby agrees and grants APC the right, but not the obligation, to the use of his or her name, address and any statements made by or attributed to such winner in any and all media, now known or hereafter devised, without notice, review or approval, in perpetuity and throughout the universe for advertising and promotional purposes in connection with the “House Rules” Promotion and other promotions without further compensation, and releases APC and the Promotion Manager from any liability with respect thereto.

9. MISCELLANEOUS. Disqualification. It is the participant’s responsibility to ensure that he/she has complied in full with all of the conditions and requirements contained in these Official Rules. If any potential winner is found to be ineligible, or if he or she has not complied with these Official Rules or declines a free product for any reason prior to award, such potential winner will be disqualified and free product will be forfeited. No mechanically reproduced, illegible, incomplete, forged, software generated or other automated multiple entries will be accepted. Entries made by any other individual or any entity, and/or originating by any other mechanism, including but not limited to commercial sweepstakes subscription notification and/or entering services, will be declared invalid and disqualified for this Promotion. APC reserves the right in its sole discretion to disqualify any individual who is found to be tampering with the entry process or the operation of the Promotion; to be acting in violation of these Official Rules; or with the intent to disrupt or undermine the legitimate operation of the Promotion. Sponsor reserves the right to seek damages and other remedies from any such person to the fullest extent permitted by law.

Force Majeure / Printing and Production Errors. APC reserves the right, without prior notice and at any time, to terminate the Promotion, in whole or in part, or modify, suspend or extend the Promotion in any way, or deem the affected Promotion materials void and invalid if it determines, in its sole discretion, that the Promotion materials in question reflect printing or other errors or if it determines, in its sole discretion that the Promotion is impaired or corrupted or that fraud or technical problems, failures or malfunctions (including, without limitation, printing or production errors) have destroyed or severely undermined the proper participation, integrity, and/or feasibility of the Promotion. In the event APC is prevented from continuing with the Promotion as contemplated herein by any event beyond its control, including but not limited to fire, flood, natural or manmade health epidemic, earthquake, explosion, labor dispute or strike, act of God or public enemy, satellite or equipment failure, riot or civil disturbance, terrorist threat or activity, war (declared or undeclared) or any federal, state, provincial or local government law, order, or regulation, public health crisis (e.g. SARS), order of any court or jurisdiction, or other cause not reasonably within APC’s control (each a “Force Majeure” event or occurrence), then subject to any governmental approval which may be required, APC shall have the right to modify, suspend, extend or terminate the Promotion. Only the type and quantity of product described in these Official Rules will be awarded. Invalidity. The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. Headings and captions are used in these Official Rules solely for ease of reference, and shall not be deemed to affect in any manner the meaning or intent of these Official Rules or any provision hereof. These Official Rules cannot be modified or amended in any way except in writing by a duly authorized representative of APC.

Governing Law. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules or the rights and obligations as between participant and the APC Entities in connection with the Promotion shall be governed by and construed in accordance with the internal laws of the State of Michigan including procedural provisions without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of any other state’s or jurisdiction’s laws.

Privacy. Information collected in connection with this Promotion may be used by APC for such purposes as data collection and market research, by submitting a request for free product a participant agrees to receive marketing promotional materials from APC in future promotions.

10. OFFICIAL RULES. These Official Rules will be posted at www.ap-c.com/houserules. To receive a copy of the Official Rules, mail a self-addressed stamped envelope to Air Products and Controls Inc. House Rules Program - Official Rules Request, 1749 E. Highwood, Pontiac MI 48340. All requests must be received between December 15, 2006 and January 15, 2008. Limit one request per outer envelope.
